Welcome to NoteWorthie! These Terms of Use ("Terms") govern your access to and use of our websites, web services, and related applications, including but not limited to NoteWorthie and any other products or services (collectively, the "Site") owned and operated by NoteWorthie.
Your Acceptance of These Terms of Use
By accessing or using the Site, you agree to comply with and be bound by these Terms, our Privacy Policy, and any supplemental terms referenced or linked to herein. If you do not agree, you may not access or use the Site.
Our Privacy Policy
Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Site. All personal information provided to us as a result of your use of the Site will be handled in accordance with our Privacy Policy. To the extent there are inconsistencies between these Terms and our Privacy Policy, the Privacy Policy controls.
Use of the Site
Permitted Use
You may use the Site for lawful purposes only. NoteWorthie is intended for personal journaling. You agree to use the Site in accordance with all applicable laws and regulations. You may not use the Site:
- In any way that violates any applicable federal, state, local, or international law or regulation
- To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
- To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Site
Prohibited Activities
The following activities are prohibited:
- Attempting to gain unauthorized access to any portion of the Site or any other systems or networks connected to the Site
- Using any automated means to access the Site for any purpose without our express written permission (including automated signups, scraping, or excessive API use)
- Interfering with or disrupting the Site or servers or networks connected to the Site
- Transmitting any viruses, worms, defects, Trojan horses, or other items of a destructive nature
We may suspend or terminate accounts that threaten service stability or abuse limited resources such as AI upload quotas.
User Accounts
To access certain features of the Site, you may be required to create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
Intellectual Property Rights
The Site and its original content, features, and functionality are and will remain the exclusive property of NoteWorthie and its licensors. The Site is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
You retain ownership of the journal content you create. You are responsible for the content you write and upload.
User-Generated Content
Our Site may allow you to post, link, store, share and otherwise make available certain information, text, graphics, images, or other material ("Content"). You are responsible for the Content that you post to the Site, including its legality, reliability, and appropriateness.
By posting Content to the Site, you grant us the right and license to host, store, process, reproduce, and display such Content as needed to operate and improve the Site (including optional AI transcription features you choose to use).
AI transcription can make mistakes — always review suggested text before saving it to your journal.
Fees and Payment
Some aspects of the Site may be provided for a fee or other charge. Free accounts include limited AI notebook uploads and core journaling features. Pro subscriptions renew monthly via Stripe until canceled and may include higher AI upload quotas, PDF export, and other features as described in the product.
If you elect to use paid aspects of the Site, you agree to the pricing and payment terms, as we may update them from time to time. Quotas and pricing may change with notice. We may add new services for additional fees and charges, or amend fees and charges for existing services, at any time in our sole discretion.
Privacy and Data Protection
We are committed to protecting your privacy and personal information. Our collection and use of personal information in connection with the Site is described in our Privacy Policy. By using the Site, you consent to the collection and use of information as described in our Privacy Policy.
Disclaimers
The information on this Site is provided on an "as is" basis. To the fullest extent permitted by law, this Company:
- Excludes all representations and warranties relating to this Site and its contents
- Excludes all liability for damages arising out of or in connection with your use of this Site
Limitation of Liability
In no event shall NoteWorthie, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Site.
Indemnification
You agree to defend, indemnify, and hold harmless NoteWorthie and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).
Termination
We may terminate or suspend your account and bar access to the Site immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.
Governing Law
These Terms shall be interpreted and governed by the laws of the State of New York, United States, without regard to its conflict of law provisions.
Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy and any supplemental terms referenced or linked to herein, contain the entire understanding and agreement between you and NoteWorthie with respect to the Site and supersede all previous communications, negotiations, and agreements, whether oral, written, or electronic, between you and NoteWorthie with respect to the Site.
